Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Avolis AI website at avolis.ai (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Paid client engagements are governed by a separate written agreement between you and Avolis AI ("Avolis," "we," "us"). Where that agreement and these Terms overlap, the engagement agreement controls.

Who may use the Site

The Site is intended for business users in the United States who are at least 18 years old and able to form a binding contract. By using it, you represent that you meet these requirements.

Use of the Site

You may use the Site only for lawful purposes and in line with these Terms. You agree not to:

• interfere with or disrupt the Site, its servers, or networks, or attempt to gain unauthorized access to any part of it;

• use bots, scrapers, or other automated means to access, harvest, or copy content or data, or to overload the Site;

• use the Site's content to train machine-learning or AI models without our written permission;

• reverse engineer or attempt to derive source code, except to the extent the law permits; or

• use the Site to transmit unlawful, infringing, or harmful material.

No professional advice

Content on the Site — including articles, guides, calculators, and estimates — is provided for general informational purposes only. Calculator and estimator results are directional illustrations, not guarantees of outcomes. Nothing on the Site is legal, financial, tax, or other professional advice, and you should not rely on it as a substitute for a scoped engagement or advice from a qualified professional.

Intellectual property

The Site and its content — including text, graphics, logos, images, and design — are owned by Avolis AI or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your personal or internal business use. You may not copy, reproduce, distribute, modify, or create derivative works from our content without our prior written permission.

Your submissions

If you submit information through the Site (for example, a contact form) or send us feedback, you are responsible for its accuracy and for ensuring you have the right to share it. Please do not submit confidential or sensitive information through the Site's forms. You grant us a non-exclusive, royalty-free license to use feedback and suggestions you provide to improve our Site and services, with no obligation to you.

Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we handle information.

Limitation of liability

To the maximum extent permitted by law, Avolis AI and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Site, even if advised of the possibility. To the extent any liability cannot be excluded, our total liability for claims arising from the Site is limited to one hundred US dollars ($100).

Indemnification

You agree to indemnify and hold harmless Avolis AI and its owners, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or violation of these Terms or applicable law.

Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

Termination

We may suspend or restrict access to the Site at any time, for any reason, without notice.

General

If any provision of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and any applicable engagement agreement, are the entire agreement between you and Avolis regarding the Site. You may not assign these Terms without our consent; we may assign them freely.
